Who pays for this
Nobody. This site runs on a server the author pays for. No organisation funds the work and no one is paid to do it. Costs so far are a domain, server capacity, certified copies from the Secretary of State, postage, and the fees public bodies charge for records — $248.50 to date, itemised on the records page with the invoice or receipt behind every line. That figure will grow as the remaining 9 requests go out. If the funding position ever changes it will be said here.

Every figure in the rest of this file is fixed at the 2 September 2026 cut-off and tied to a filing. This one is not. It is a live quote from Nasdaq, the exchange IREN lists on, and it moves while you read it. It is here because no filing can stay current on the number the market revises continuously: what it thinks the whole company is worth today.

01 / Business

What the company actually does

FY26 · year ended 30 Jun 2026

IREN describes itself as a vertically integrated AI Cloud Services platform that owns all three layers of the stack: the data center layer (land, power, substations, buildings, cooling), the compute layer (GPUs, CPUs, storage, servers, networking), and the software layer (managed services and enterprise support, acquired wholesale with Mirantis in August 2026).1

The distinguishing structural choice is grid-connected power rather than behind-the-meter generation. IREN buys land and secures transmission interconnection directly — regulated tariffs from BC Hydro in British Columbia and Public Service Company of Oklahoma in Oklahoma, wholesale market exposure through ERCOT in Texas — and builds the substations itself. Every operating site has run on 100% renewable energy since commencement, roughly 98% from clean generation in British Columbia with the balance covered by renewable energy certificates.1

The company is simultaneously exiting the business that built it. As of 30 June 2026 installed bitcoin mining capacity was 23.2 EH/s occupying about 380 MW, against just 40 MW of operating AI cloud capacity. IREN began decommissioning miners during FY26 and aims to substantially complete the transition by 31 December 2026. It liquidates mined bitcoin daily and held none on its balance sheet at year end.1

Note The FY26 loss is dominated by impairments on decommissioned mining hardware — $450.4m of the $638.8m full-year charge landed in Q4 alone — not by operating deterioration. Q4 Adjusted EBITDA also fell on hiring and platform investment running ahead of the AI revenue ramp.14

Site notes

  • Childress is the AI beachhead. It hosts the four "Horizon" liquid-cooled halls built for Microsoft, each 50 MW of critical IT load. Horizon 1 was delivered and accepted in August 2026; Horizon 2 is commissioning and Horizons 3–4 are in late-stage construction, targeting Q4 2026.
  • Sweetwater is the largest build. Substation energization for Sweetwater 1 targeted April 2026; Sweetwater 2 targets late 2027.
  • Badajoz arrived with the June 2026 acquisition of Nostrum Group (Ingenostrum, S.L.) and marks IREN's entry into Europe, along with local development, engineering and construction capability.
  • New liquid-cooled deployments are planned at Mackenzie, Canal Flats and Prince George during 2027 to use power headroom already secured at the operating British Columbia sites.
  • Delivery targets are cumulative 0.3 GW IT in 2026 and 0.8 GW IT in 2027 — a reminder that gross site megawatts and sellable IT load are different units.4

Significant subsidiaries

Exhibit 21.1 to the FY26 10-K lists seven significant subsidiaries. The structure is compact and jurisdictionally uniform: every US entity is a Delaware corporation or LLC, and every Canadian entity is British Columbian — Delaware being the conventional domicile for US subsidiaries irrespective of where operations sit. The naming convention encodes function: Holdings for asset-owning vehicles, Hardware for the GPU-financing entities that carry the non-recourse debt.2

The registers hold more of the family than the exhibit does. A Delaware name search for "IE US" returns eighteen entities, sixteen of them following the IE US pattern; Exhibit 21.1 vouches for five. The other eleven — Development Holdings 1, 4, 5, 6, 7 and 8, Hardware 4, 5 and 6, IE US Operations Inc. and IE US 1, Inc. — are name matches only, and three of them, Hardware 5 LLC, Hardware 6 LLC and Development Holdings 8 LLC, were formed on 28 May and 1 June 2026, after the Kiowa Project Plan had been recommended.21 British Columbia has a neighbour of the same kind: IE CA Development Holdings 5 Ltd., BC1307619, registered 28 May 2021 and absent from the exhibit.23

Two further wholly owned subsidiaries were added by acquisition after the subsidiary list's cut-off: Mirantis, Inc. (August 2026) and Ingenostrum, S.L., trading as Nostrum Group (June 2026, Spain).1

Emerald ProjectCo Inc.: the Oklahoma counterparty, as the registries record it

The Pittsburg County Project Plan names Emerald ProjectCo Inc. as the company behind the Kiowa data center. That name is not in Exhibit 21.1 and appears nowhere in IREN's SEC record. The two state registries that do hold it record the following, and nothing more.2122

Three things follow, and one does not. The domicile fits: every US entity in Exhibit 21.1 is a Delaware corporation or LLC, and so is this one. The date fits: incorporation on 29 July 2025 precedes the county's Statutory Review Committee recommendation of 21 April 2026 by almost nine months. The agent matches: Emerald ProjectCo and all five Delaware entities in Exhibit 21.1 sit with Corporation Service Company at 251 Little Falls Drive — but that is a commercial agent used by a great many unrelated companies from that address, and a shared agent proves nothing on its own.21 The officer and the address close the loop: the certified Oklahoma qualification of 16 December 2025 is signed by Will Roberts as President, the name of this company's co-founder and co-chief executive, and gives the corporation's principal place of business as 620 FM 1033, Childress, Texas, which is IREN's Childress campus.22 The same filing shows what the vehicle is: 1,000 shares at a cent, ten dollars of authorised capital, $21,100 of assets against $1,000 of liabilities, a stated Oklahoma business of "project development and land acquisitions," and a declared maximum of $187,000,000 to be invested in the state in the current fiscal year. The Secretary of State was written in as its registered agent on the form; Corporation Service Company replaced it on 30 July 2026 over William Roberts's signature. What still does not follow is ownership: no record read names the shareholder, the name departs from the IE US convention every other US subsidiary follows, and Exhibit 21.1 does not list it. The relationship is documented by officer and address; the parent is not stated in any document in this file.

People, and where they sit

Headcount was 685 employees at 30 June 2026 — nearly tripled during FY26, including more than 60 who arrived with Nostrum. The Mirantis acquisition added roughly 580 more in August 2026, taking the group past 1,250. Separately, about 3,000 personnel including contractors and subcontractors were engaged across the US sites at year end. No employees are unionised.

The asset base tells the geographic story more honestly than the head office does: 72% of non-current assets sit in the United States and 24% in Canada, while the registered office, the executive filing address and the fiscal calendar are all Australian.1

Officer locations: what the record actually supports

Every Section 16 insider — both Roberts brothers, Bartholomew, Alfred, Guzowski, Parasuraman, Lewis and Nucifora — files Forms 3, 4 and 144 from the same c/o address at 55 Market Street, Sydney. No individual residential address appears in any IREN filing, and none is required to.13

Individual locations are stated publicly for only two people: David Bartholomew is described as Australia-based, and Chris Parker was announced as Sydney-based on appointment.520 Anything further would be inference rather than record.

04 / Board

Six directors, two of them brothers

per the 2025 proxy statement5

Four independent non-executives and the two founder Co-CEOs. All four independents sit on both standing committees; there is no standing nominating committee, and the independent directors collectively recommend nominees. Following constitutional amendments approved at the November 2025 AGM, directors now stand for election at every annual general meeting.59

05 / Control

Two unregistered shares hold 43.5% of the vote

The most consequential governance fact about IREN is not in the ownership percentages. It is in the two B Class shares, held by the Roberts brothers' family trusts.

Under the constitution, each holder of a B Class share is entitled to 15 votes per Ordinary share held by that holder. B Class shares carry no dividend rights and are unregistered. They must be redeemed on the earliest of: the holder ceasing to be a director through voluntary retirement, a transfer in breach of the constitution, liquidation, or 17 November 2033 — twelve years after listing.

The practical effect: Daniel and Will Roberts each hold 2.3% of ordinary shares but 21.8% of total voting power. Directors and executive officers together held 4.6% of the ordinary shares and 43.5% of the vote. Constitutional amendments require 75% of votes cast.35

Subsequent Schedule 13G filings are all passive institutional positions: Goldman Sachs Group and Bank of America (both filed August 2026), Susquehanna Securities, Jane Street Group, Citadel Securities, and HANSAINVEST of Hamburg. A single Schedule 13D exists, filed December 2022 by Everest Hill Group Inc. of Road Town, Tortola, BVI, and amended in September 2023.18

On 30 June 2026 the board granted each Co-CEO 9,099,328 restricted stock units — vesting in four equal annual instalments, each tranche then locked by a two-year post-vesting holding period running to fiscal 2033. In exchange, neither Co-CEO receives a further equity grant until fiscal 2031. The independent directors approved the grants unanimously with an independent compensation consultant. The 2025 Omnibus Incentive Plan under which they were made drew the heaviest opposition of any AGM item: 29.3 million votes against, against 214.9 million for.910

06 / Leadership

An executive team rebuilt in eighteen months

Five C-suite appointments landed in 2026 alone, most of them hired out of hyperscalers and infrastructure operators rather than promoted from the mining business. The Chief Marketing Officer arrived through an acquisition of his own agency.

Co-CEO compensation rose roughly elevenfold in a single year. In FY2025 the two brothers were awarded $72,647,744 each — identical packages — against full-year net income of $86.9m. Their combined pay was 167% of the company's only profitable year's earnings.

Salary actually fell — the increase is almost entirely equity. Note also that every equity award outstanding at 30 June 2025 — 29,604,388 securities issuable at a weighted-average exercise price of $47.07, with 9,870,552 remaining available — sat under plans that had not been put to a shareholder vote. That was lawful: as a foreign private issuer, IREN elected to follow Australian home-country practice in lieu of Nasdaq's shareholder-approval requirement for equity plans, and said so in its filings.14 The 2025 Omnibus Incentive Plan, approved that November after the move to domestic-filer status, was the first to go to a vote — and drew 29.3 million votes against.59

Then, in June 2026, another 18.2 million shares

The board granted each Co-CEO 9,099,328 RSUs on 30 June 2026 — together 18,198,656 shares, about 4.6% of shares outstanding. Four-year vesting, each tranche locked by a further two-year holding period running to fiscal 2033, and no further equity grant to either until fiscal 2031. The 8-K disclosed no grant-date fair value. As an illustrative calculation only — the author's, not the company's — at $36.32, the last ordinary-share price recorded in any Form 4 (a director's open-market sale on 16 September 2025, reported late in a Form 4 filed 1 July 2026), the two grants together would be worth roughly $661m before any discount for vesting and holding restrictions. That price is nine months older than the grant and is used here only because no share price closer to the grant date appears in a filed document; it is not a grant-date valuation. The audited figure will appear in the FY2026 proxy, not yet filed.1013

Those options carried an exercise price of AUD $5.005 and were due to expire on 20 December 2025. Separately, on 11 September, each sold 1,000,000 ordinary shares at $33.131, about $33.1m each.13

The option disposals have an evident and timing-independent explanation on the face of the filing: the options were within about fifteen weeks of expiry and would otherwise have lapsed. The Form 4s do not mark either disposal as made under a Rule 10b5-1 trading plan — the checkbox is unticked — and all were preceded by Form 144 notices and reported on Form 4 in the ordinary course. Nothing in the public record characterises any of these transactions as irregular, and this file makes no suggestion that they were.13

Other Section 16 activity is routine: grants on 1 July 2025 and 1 July 2026, and a single director sale of 11,958 ordinary shares at $36.32 on 16 September 2025 — reported in a Form 4 not filed until 1 July 2026, some nine and a half months later. The only ordinary share prices in this file that come from a filed document rather than a market feed are $33.131 (11 September 2025) and $36.32 (16 September 2025); the $23.51 and $25.49 figures are option disposal prices and are not share prices.13

Customers, capital and counterparty risk

IREN's revenue base flipped from one anonymous counterparty — the bitcoin network — to a handful of very large, very identifiable ones. The company acknowledges the concentration directly in its risk factors.

Reported annualised run-rate revenue stands at $4bn contracted for 2026 capacity, of which $1bn was operating as of 26 August 2026. ARR is an operating metric, not GAAP revenue, and IREN says so explicitly. 2026 capacity is described as largely sold out; 2027 is in late-stage discussions. Recent three-year contracts price above $20m of revenue per MW of IT load, which IREN says represents “a ~2 year payback”, with active discussions at about $25m per MW. The payback is the company’s own figure and its footnote confines it to the equipment: “estimated capital expenditure for GPUs and ancillaries divided by contracted revenue less estimated direct costs”, not the data centers that house them.4

The offsetting obligation: $5.8bn to Dell, guaranteed by the parent

Signed the same day as the Microsoft agreement, 2 November 2025. Dell Marketing L.P. supplies the GPUs and ancillary equipment for the Horizon deployment in tranches from March 2026, for an aggregate purchase price of approximately $5.8 billion, payable within 30 days of each tranche shipping. Critically, and unlike the GPU financing: IREN Limited has agreed to unconditionally guarantee IE US Hardware 3's obligations under it. This is direct parent recourse, and it is the liability sitting opposite the $9.7bn of Microsoft revenue. The two documents should always be read together.8

The NVIDIA relationship, three ways

NVIDIA is simultaneously IREN's chip supplier, a cloud customer, a certifying body and a prospective shareholder. Under the May 2026 strategic partnership, NVIDIA holds the right to invest up to $2.1 billion in ordinary shares, contingent on delivery of up to 600,000 GPUs and regulatory conditions, supporting up to 5 GW of DSX-aligned infrastructure. IREN is an NVIDIA Cloud Partner, secured Preferred Partner status in FY26, and holds Exemplar Cloud status for HGX B300 and GB300 NVL72 — the latter awarded after NVIDIA tested the Horizon 1 deployment at Childress in August 2026.1

How the buildout is funded

  • $3.6bn investment-grade GPU financing (May 2026) at a 6.0% weighted average rate against the Microsoft contract. With prepayments, it funds 96% of the associated GPU capex.
  • $2.8bn of new GPU financings for non-investment-grade customer deployments, including $2.4bn led by Blue Owl and PIMCO at a 9.0% fixed rate for the Mackenzie air-cooled expansion — covering 90% of that GPU capex.
  • Customer prepayments now represent 45–55% of GPU capex on recent contracts.
  • Total cash plus committed GPU financing and prepayments: $14bn.4

Acquisitions

  • Mirantis, Inc. — completed 4 August 2026 for approximately $544m: 12.6 million ordinary shares plus cash and roughly $40m in RSUs. Brings the k0rdent AI platform, 1,500+ enterprise customers and about 580 people. This is the software layer.
  • Nostrum Group (Ingenostrum, S.L.) — completed June 2026: 837,424 ordinary shares plus approximately €82m cash. Spanish grid-connected data center developer; brought the Badajoz site and European development capability.
  • Awaken — May 2026. A creative and media agency; its founder Chris Parker became IREN's first global CMO, with media operations spun out.20

Is the $9.7bn real? Tracing it to the signed contract

A headline contract value is only as good as the document behind it. This one has the document: the executed agreement is on the public record, and the number in it survives every cross-check available.

The Partner Statement of Work between Microsoft Corporation and IE US Hardware 3 Inc. was filed in full as Exhibit 10.3 to IREN's Form 10-Q for the quarter ended 31 December 2025. It carries the signature of Scott Guthrie, EVP Cloud + AI, dated 31 October 2025, countersigned by Kent Draper as authorized signatory and William Roberts as director on 2 November 2025.67

The contract's own arithmetic closes

Rebuild the total from the payment schedule: 24 months at $161,180,236.80, then 36 months at $107,199,838.11, plus the upfront, gives $9,660,359,740 — within 0.07% of the stated cap. The monthly step-down of $53,980,398.69 multiplied across the final 36 months returns $1.943bn, within half a percent of the $1,932,839,884.80 upfront — the upfront being credited back pro rata after month 24, exactly the mechanism described in the 8-K. Every figure in the reconstruction is taken from the executed schedule, and the two independent routes to the total agree to within a tenth of a percent.78

What is redacted, and what isn't

83 passages are marked [***] under the standard that the information "is not material and/or contains personal information." The redactions cover per-tranche values, GPU quantities, delivery dates, the price per GPU-hour, and site addresses. The aggregate economics — the numbers above — are not redacted. So the total is verifiable while the unit pricing is not.7

The hardest corroboration: Microsoft's cash is already on the balance sheet

Note 20 discloses $1,623,480 thousand of deferred lease revenue — advance payments received on capacity tranches that had not commenced as of 30 June 2026. Against a contractual aggregate upfront of $1,932,839,884.80, that is 84% of the prepayment already received in cash, before a single tranche started earning.

One honest caveat: that line item may include prepayments from other lease-classified customers, so 84% is an upper bound on the share attributable to Microsoft. The direction is not in doubt — over $1.6bn of customer money has actually been wired.17

And the audited aggregate reconciles

The FY26 accounts disclose $5.1bn of unsatisfied remaining performance obligations under ASC 606 plus $11.4bn of aggregate contracted lease value under ASC 842 — $16.6bn in total. Announced contracts sum to roughly $15.9bn (Microsoft $9.7bn, NVIDIA $3.4bn, the July trio $2.8bn) with several undisclosed deals on top. The public numbers and the audited number agree.148

Why Microsoft sits outside the RPO figure

An accounting point worth understanding before comparing IREN to peers. IREN determined that its GPU capacity contracts contain leases — of specified GPU equipment and dedicated data center space — and accounts for them as operating leases with itself as lessor under ASC 842. That places the Microsoft value in the $11.4bn lease bucket rather than in the $5.1bn ASC 606 RPO. Anyone reading RPO alone as "the backlog" will understate it by roughly two-thirds.1

The caveat that matters most: none of it is revenue yet

The accounts state plainly that "No lease revenue was recognized during the periods presented", and that all FY26 AI Cloud Services revenue was generated in Canada. Microsoft contributed zero to the $128.8m of FY26 AI Cloud revenue — that figure comes entirely from the older British Columbia deployments.

Revenue begins only on customer acceptance. Horizon 1 was accepted in August 2026, which falls in FY27. Of the ASC 606 RPO, only $0.9bn is expected to be recognized in the twelve months to 30 June 2027 and $1.3bn in the year after.1

Verdict: the $9.7bn is real as an executed contract and substantially real as cash in the bank. It is not yet real as revenue, and the gap between those two states is where the execution risk lives.

10 / Position

The business does not fund its own expansion

FY26 · US$ millions

IREN is solvent, unlevered on a net basis and in no near-term danger. But the buildout is financed by issuing paper, not by operations, and the headline operating cash flow does not mean what it appears to mean.

Cash flows, year ended 30 June 20261

Proceeds from convertible notes6,299.6

That $2.1bn operating inflow is 88% customer prepayments — a liability that must be worked off by delivering service, not earned margin. Strip it out and the business generated $259m of operating cash against $4.72bn of capex. Free cash flow was −$2.62bn as reported and −$4.46bn underlying. The gap was closed by raising $11.0bn of equity and convertible notes in twelve months, roughly 43× the underlying operating cash flow.1

On the looser reading — counting restricted cash — the gap is $3.48bn against $3.50bn of remaining ATM capacity, which line up almost exactly. On the stricter reading below, the gap is wider. Either way the arithmetic says the buildout is planned to be closed with further equity issuance.1

Correction to the obvious reading: $1.72bn of that cash is not the group's to spend

Note 26 consolidates a variable interest entity — IE US Hardware 3, LLC, the GPU financing subsidiary. Essentially all of the restricted cash sits inside it, along with the assets the Microsoft deployment runs on:

  • Restricted cash $1,670.3m current + $53.7m non-current — the whole restricted balance
  • Property and equipment, net $1,487.1m, pledged as collateral
  • Deferred revenue $1,013.1m — a large share of the Microsoft prepayment
  • Accounts payable and accrued $1,127.7m; debt $918.2m

These assets "may be used only to settle obligations of IE US Hardware 3, LLC and are not available to satisfy claims of the general creditors of IREN Limited or any of its other subsidiaries" until the facility is repaid. So the group's genuinely unrestricted cash is $5,895.6m, not $7,619.5m — and the coverage shortfall against $13.81bn of commitments is nearer $5.2bn than the $3.5bn a simple reading gives. The structure cuts both ways: the SPV's debt is non-recourse, so the ring-fence protects the parent as well as constraining it.1

Construction in progress grew fifteenfold to $3.66bn — more than half the gross asset base is not yet earning. Mining hardware fell by nearly half as it was decommissioned. Accumulated impairment stands at $484.5m. GPUs are depreciated straight-line over an estimated five-year life, which is the single most consequential accounting judgment in these accounts: the company has just written off $638.8m of the previous hardware generation, and the FY26 fleet is being depreciated on the same kind of estimate.1

Two things a headline reading misses

First, the FY26 loss would have been materially worse without $558.5m of unrealized gains on financial instruments — chiefly fair-value movements on the company's own capped call and prepaid forward transactions. That is a derivative gain on IREN's own share price, not operating performance. Strip it out and the pre-tax loss approaches $1.27bn.

Second, the loss is entirely offshore. Income before tax splits +$210.2m in Australia against −$918.8m foreign. The Australian parent is profitable; the US and Canadian operations carry the losses, which is why the valuation allowance against foreign deferred tax assets jumped to $209.4m.1

Dilution overhang

Investment Rights NVIDIA4,520,548
Total146,132,206

Against 394.1m shares outstanding, the genuinely dilutive instruments — converts, RSUs, options and the NVIDIA investment rights — total 105.1m shares, a 27% overhang on top of the 53% dilution already taken. The capped calls and prepaid forwards work the other way, which is what IREN spent $448.9m buying. Basic and diluted loss per share was $(2.22) in FY26, against $0.41 and $0.39 of earnings in FY25.1

The debt is unusually cheap — leverage is not the constraint

The $6,745.7m of convertible notes carries roughly $59.5m of annual coupon — about 0.88% blended — and matures across 2029 to 2033, with the bulk in 2031 and later. Cash interest paid in FY26 was just $42.6m. The GPU facilities add about $56m a year on drawn amounts, at 5.96% fixed on the USPP notes and SOFR + 2.25% on the term loan, hedged with $1.5bn notional of swaps at roughly 3.80% fixed. Counting all cash, the company carries no net debt — $7.59bn of borrowings against $7.62bn of cash; counting only unrestricted cash it is about $1.70bn net debt.1

The cost is borne by shareholders instead. Shares outstanding went from 258.1m to 380.2m during FY26, and to 394.1m by 14 August 2026 — 53% dilution in roughly one year. The company also spent $1,623.5m of cash plus 39.7m shares to induce conversion of $544.3m of older notes, booking a $111.8m inducement expense.1

Costs are inflating faster than revenue

  • Selling, general and administrative: $136.5m → $449.1m (+229%), of which stock-based compensation alone went $42.6m → $205.0m
  • Depreciation and amortization: $181.1m → $417.7m, and rising sharply as the GPU fleet lands
  • Accounts payable and accrued expenses grew $1.68bn, a working-capital source that supports the year-end cash position1

Six years: one profitable, four flagged by auditors

Context for the FY26 loss. This is not a company with a long record of compounding earnings — it is a company whose audit opinion carried going-concern language in four of its six public years, before one profitable year and the pivot recorded above.1141516

Cumulative1,537.6(1,296.7)—accumulated deficit $1,298.8m

The cumulative net loss of $1,296.7m reconciles to the $1,298.8m accumulated deficit on the FY26 balance sheet — the series is complete. FY2025 is the only profitable year in the company's public life, and even that was helped by unrealized gains on financial instruments.1

The going-concern language is the same language, four times

Armanino LLP's audit report covering FY2020, FY2021 and FY2022 carried a Going Concern Uncertainty paragraph: "significant uncertainties exist about the Group's ability to generate positive free cash flow and raise sufficient capital to fund outstanding purchase commitments." Raymond Chabot Grant Thornton repeated substantively the same finding in its FY2023 opinion, citing the $172m net loss, and again for FY2024, citing the $29.6m net loss — each time naming the same inability to fund outstanding purchase commitments. FY2023 was also the year two subsidiaries were in receivership.11141516

That phrase — funding outstanding purchase commitments — is precisely the pressure point today, at a scale 37 times larger. FY2025 and FY2026 opinions are clean and the balance sheet is vastly stronger, so this is history rather than a current qualification. But it establishes that the failure mode is not hypothetical: the company's auditors raised it in four consecutive years, FY2021 through FY2024, before the FY2025 opinion came in clean.114

What this file does not establish

Stated plainly, so nobody mistakes an absence of data for an absence of risk. Each item below is a real limit on the analysis above.

  • FY2026 proxy not yet filedDue by late October 2026All compensation and ownership figures here are from the FY2025 proxy, dated 31 August 2025 — a year before the current share count. FY2026 named-officer pay, updated beneficial ownership, and the audited grant-date fair value of the June 2026 RSU grants are not yet public.5
  • Per-tranche Microsoft economicsRedactedGPU quantities per tranche, individual tranche values, delivery dates and the price per GPU-hour are all withheld as immaterial or commercially sensitive. The aggregate is verifiable; the unit economics are not.7
  • Customer concentration is not quantifiedNot disclosedThe 10-K states repeatedly that customer contracts "are concentrated" and names it a principal risk, but discloses no percentage of revenue or receivables by customer. The concentration can be inferred from contract values; it cannot be measured from the accounts.1
  • Three executives have no filed biographyNot Section 16 officersDavid Shaw (COO), Denis Skrinnikoff (CTO) and Cesilia Kim (CLO) appear on the company's leadership page but file no Section 16 reports and have no proxy biography. Appointment dates and backgrounds for them are absent from this file by choice rather than oversight.19
  • The 85% tax abatement figureNot in any filingIREN confirms property tax abatements and sales and use tax exemptions, in Texas among other places, sometimes in exchange for payments in lieu. It never quantifies them. Any specific percentage would come from a county-level abatement agreement, not from the SEC record.1
  • Who owns Emerald ProjectCo Inc.Officer and address on the record; shareholder notThe certified Oklahoma qualification names Will Roberts as President and Jason Date as Secretary and gives IREN's Childress campus as the principal place of business, so the connection to IREN is documented. Who holds the 1,000 shares is not on any record read, and Jason Date does not appear in IREN's filings. The Secretary of State was named as registered agent on the qualification form itself; Corporation Service Company replaced it on 30 July 2026. A name search for "IREN" in an aggregator snapshot of the Oklahoma register, marked partial for that state, returns one inactive foreign corporation, IREN Two, Inc. (filing 2300325032), and nothing ties it to IREN Limited. The Delaware and British Columbia entities that share the IE US and IE CA naming pattern but are absent from Exhibit 21.1 are name matches only.2122
  • Share price and market capitalisationPoint observations onlyThe only ordinary share prices in this file come from filed documents: $33.131 on 11 September 2025 and $36.32 on 16 September 2025, plus an aggregate non-affiliate market value of about $11.9bn at 31 December 2025. The $23.51 and $25.49 September figures are option disposal prices, not share prices. This file carries no live market data.131
  • Site-level capital cost and returnsNot disclosedCapital expenditure, power cost and contracted revenue are reported group-wide. Nothing in the filings allows a per-site or per-megawatt return to be calculated independently of management's own summary figures.1
  • Sweetwater 1 energisationUnconfirmedSubstation energisation was targeted for April 2026. The FY26 10-K, filed four months later, does not state whether that milestone was met. Treat the construction timeline as management guidance, not established fact.14
  • Headcount by geography and functionNot disclosed685 employees at 30 June 2026 plus roughly 580 from Mirantis and about 3,000 contractor personnel across US sites — but no split by country, site or function, and no attrition data.1
  • Post-30 June 2026 eventsOutside the reporting periodThe Mirantis close, the Horizon 1 acceptance, the July contract signings and the frontier-lab contract all fall after the balance sheet date. They are disclosed but not yet reflected in any audited figure in this file.14

Basis of preparation

This document is compiled solely from public filings with the United States Securities and Exchange Commission, the company's own published materials and its press releases, and the public corporate registries of Delaware, Oklahoma and British Columbia for Emerald ProjectCo Inc. and the listed subsidiaries, each cited by number in section 14. The author holds no non-public information concerning IREN Limited or Emerald ProjectCo Inc. and has relied on none. Statements of fact are drawn from those sources as they stood at the data cut-off of 2 September 2026. Statements of analysis, characterisation and opinion are the author's own, are presented as such, and are honestly held on the basis of the cited material.

Figures

Financial figures are as reported; non-GAAP measures are labelled where used. FY2021–FY2023 figures are IFRS as originally reported and FY2024–FY2026 are US GAAP, so the six-year series is not perfectly like-for-like across the basis change. Ownership figures date from 31 August 2025, the most recent proxy statement; share counts from 14 August 2026. Site capacities are announced gross megawatts, not contracted IT load. Contract values are total contract value, not recognised revenue. Where the author has performed a calculation from filed figures — the coverage shortfall, the contract-arithmetic check, the illustrative value of the June 2026 RSU grants — the text says so, and the result is the author's, not the company's.

Named individuals

Information about directors and officers is confined to disclosures those individuals or the company were required by law to make, and to their conduct in a corporate capacity. Nothing in this document alleges, or is intended to imply, wrongdoing by any person. Where the sequence of disclosed events might invite inference, the document states the innocent explanation that appears on the face of the filing.

Corrections

3 October 2026. The contracts section said recent contracts price above $20m per MW of IT load, “implying roughly a two-year payback”. The payback figure is IREN’s own statement, not an inference, and its footnote limits it to capital expenditure on GPUs and ancillaries; it is not a payback on a data center or on any one site. The sentence now quotes the release and its footnote.

4 September 2026. Until this afternoon this page said that no officer, owner or parent of Emerald ProjectCo Inc. appeared on any public record. The certified Oklahoma filings, obtained that day and published on the comparison page, name Will Roberts as President and Jason Date as Secretary and give IREN's Childress campus as the principal place of business. The entity table, the text and the questions were changed to say so. The shareholder is still not on any record read. An error of fact reported to the address in the publication statement is corrected here, with the date and what changed.

Not advice

Nothing in this document is investment, legal, tax or financial advice; it is not a recommendation, and it is not an offer or solicitation in respect of any security. It is a general publication, not personalised to any reader, and no reader should act on it without independent professional advice. The author accepts corrections: errors of fact notified to the address in the publication statement above will be corrected and the correction noted.
